This Franchise Agreement ("Agreement") is executed at Ajmer, Rajasthan between AMBLS FOUNDATION (First Party / Licensor) and the Franchise Holder / Center Head specified in Schedule A (Second Party / Franchisee).

1.1 The Foundation grants a non-exclusive license to operate batches using the proprietary T.R.U.E Method (Beginner, Advance, Mastery) and W.L.U.E Method (Audio-Visual Synthesis Pedagogy).

1.2 The Franchisee is authorized to run offline coaching setups and digital online batches under the recognized banner of DesiredTeaching.com and AMBLS Foundation.

• Tuition Freedom: Franchisee retains complete autonomy to decide course fees charged to students.
• 20% Royalty Remittance: Franchisee unconditionally agrees to remit a mandatory 20% Royalty of total course collections to AMBLS Foundation on or before the 7th of every month.
• 80% Revenue Retention: The remaining 80% gross revenue is retained entirely by the Franchise mentor/academy as direct earnings.
• Platform Inclusions: Full multi-faculty dashboard access, batch scheduling tools, and Sunday 10:00 AM Evaluation portal entry are covered under this royalty model.

All trademarks, syllabi, software dashboards, and educational material of "T.R.U.E Method", "W.L.U.E Method", and "DesiredTeaching" remain the exclusive property of AMBLS Foundation. Sub-licensing or unauthorized re-packaging is strictly prohibited.

All active batches must participate in the weekly Sunday 10:00 AM Scholarship & Evaluation exams. Teaching instruction must uphold civic integrity and dedication to national patriotism.

• Financial Default & Evasion: Delaying royalty beyond 15 days or concealing enrollments results in portal suspension and 18% per annum penalty interest under the Indian Contract Act, 1872.
• Criminal Action for Fraud: Forging completion certificates or collecting unauthorized funds in the foundation's name attracts immediate criminal prosecution under BNS / IPC for cheating and forgery.
• IP Infringement: Piracy or unauthorized commercial duplication of T.R.U.E Method modules is liable for immediate civil injunction and exemplary damages up to ₹5,00,000/-.

All unresolved disputes shall be settled through Sole Arbitration appointed by AMBLS Foundation. Legal jurisdiction is strictly and exclusively restricted to the competent courts at Ajmer, Rajasthan, India.
